INSTALL AGREEMENT OF PAPER MANUFACTURE EQUIPMENT

　　為了保證造紙設(shè)備安裝工程質(zhì)量，以及保障技術(shù)提供方的人身，財產(chǎn)利益。雙方協(xié)商，本著公平，公正，自愿，合法，守法的原則，達成如下協(xié)議

　　In order to assure the quality of paper equipment installation project and guarantee technique provider personal and property interests, both parties have negotiated and reached the following agreement, which is fair, voluntary, legal, law-abiding principle.

　　1.

　　由乙方為甲方的造紙設(shè)備，提供技術(shù)服務(wù)支持。負責為甲方所購買的造紙設(shè)備安裝，所需的技術(shù)參數(shù)，圖紙，標準，安裝規(guī)范，提供支持。指導(dǎo)甲方施工人員，遵守造紙機械設(shè)備安裝規(guī)范進行施工。聽從乙方人員的指揮。

　　Part B provide technique service and support for papermaking equipment of Part A. Part B is responsible for required technique data, drawing, standard, installation specification, technique supply for paper machine of Part A. According to paper equipment installation specification, Part B guide worker from Part A for construction.

　　2. 乙方需嚴格履行技術(shù)支持工作，指導(dǎo)甲方施工人員，嚴格執(zhí)行造紙設(shè)備安裝標準，保證設(shè)備安裝嚴格遵守造紙制漿的工藝流程。

　　Party B shall strictly fulfill the technical support, guidance Party A construction workers, strict implementation of the paper making equipment installation standards to ensure equipment installation strict compliance with process flow of pulping.

　　3. 乙方在甲方滿足生產(chǎn)，調(diào)試所需材料與相應(yīng)條件的情況下，應(yīng)保證甲方設(shè)備順利投入使用。

　　Part B should guarantee Part A paper equipment can put into use successfully on the condition of Party A meeting the production, testing materials and corresponding conditions required.

　　4. 乙方在施工過程中，對設(shè)備安全提供解決方案。甲方應(yīng)嚴格執(zhí)行乙方提供的安全方案，如未按相關(guān)方案，以及操作規(guī)程施工，造成的相關(guān)設(shè)備，人身事故由甲方自行承擔。

　　In construction engineering, Part B should provide solutions for equipment safety. Part A should strict execute security solution provide by Part B. If part A make the construction fails to the relevant solution and operation specification, Part A must bear the equipment and personal accident caused by violation operation.

　　5. 甲方承擔乙方人員來往兩地所有費用，簽證費用，以及乙方人員在甲方工作，生活期間所產(chǎn)生的通訊，醫(yī)療，住宿，生活費用。并對乙方人員的人身，財產(chǎn)安全負責。

　　如乙方人員，人身，以及財產(chǎn)在協(xié)議期受到任何損失與傷害，甲方負完全責任。

　　Party A shall pay Party B(three person) the all costs for coming and going, visa costs. During Part B officers working in the Party A, Part A should bear the communications, medical treatment, accommodation, living expenses. Part A must responsible for the personal and property safety of part B. If the personal and property safety of part B suffer loss and damage, Part A bear full responsibility.

　　6. 甲方按月為乙方人員提供月薪。工程師(1名)月薪：1.5萬RMB 技術(shù)員(3名)： 0.8萬每人 RMB。支付方式;預(yù)付。計費起始時間自甲方邀請函發(fā)出之日起，至乙方人員離開甲方所在地日期止。甲方需預(yù)付乙方一個月的薪水，之后，每月提前預(yù)付乙方下月的薪水。乙方在甲方工作期間，有權(quán)享受所在國的法定節(jié)假日。甲方應(yīng)為乙方人員提供適合乙方生活，工作的環(huán)境。甲方需為乙方人員，在中國購買出國勞務(wù)人員人身意外保險，每人一份。

　　Part A Should provide part B salary monthly. Engineer: one person, Salary：RMB15000/Month. Technician: Three people, Salary: RMB 8000 /Month. Payment is in advanced. Charge is beginning from receipt of invitation from part A to Part B leaving the from part A location. Party A shall prepay Party B a month's salary. Afterwards, Part A prepay Part B nest month salary every month. When party B working at party A place, party B have right to enjoy legal festival and holiday of host country. Party A should provide for party B suitable condition for living and working. Party A should buy labour service for export personal accident insurance for party B staff in China. Every one have one share.

　　7. 乙方僅對造紙制漿設(shè)備提供技術(shù)服務(wù)。工作范圍不包含電器，鍋爐，以及其他非造紙設(shè)備。如甲方確實需乙方提供非造紙設(shè)備的技術(shù)服務(wù)，另簽相關(guān)協(xié)議。

　　Part B is only providing technical services to pulp and papermaking equipment. Scope of work does not include electrical appliances, boilers, and other non-paper-making equipment. If Party A is indeed required Part B providing technical services of non-paper-making equipment, Part A need sign another relevant agreement.

　　8. 甲方必須保證乙方人員簽證，以及相關(guān)手續(xù)，絕對遵守當?shù)?、所在國的相關(guān)法律法規(guī)。并及時迅速歸還乙方人員的護照和相關(guān)證件。如有變相或直接扣留證件行為，乙方有權(quán)中止施工，以及合同相關(guān)內(nèi)容。并應(yīng)用法律維護自身利益。

　　Party A must ensure Part B visa and related procedures comply fully with the local and host country laws and regulations. And Part A shall promptly return Part B passport and relevant documents. If documents was detained in disguised or direct form, Part B has the right to suspend construction and contract-related content, and apply the law to safeguard their own interests.

　　9. 該協(xié)議所產(chǎn)生的法律關(guān)系，僅存在甲乙雙方的勞動合同關(guān)系。對于任何產(chǎn)品質(zhì)量，以及產(chǎn)品質(zhì)量所產(chǎn)生的相應(yīng)法律、經(jīng)濟責任概不與乙方產(chǎn)生任何形式的法律、經(jīng)濟關(guān)系。如對產(chǎn)品質(zhì)量有任何異議，應(yīng)以購銷合同為法律關(guān)系為準。

　　The legal relation generated by this agreement is labour contract between party A and party B only. As for any of product quality and some related law, economic responsibility which caused by product quality, party B will not responsible for it. If party A have any objection for product quality, it subject to sales contract of Party A.

　　10. 如在施工過程中，設(shè)備確實出現(xiàn)質(zhì)量問題，乙方有責任，對設(shè)備質(zhì)量出現(xiàn)的問題，進行評估，取證，協(xié)調(diào)購銷合同中的責任各方，妥善處理出現(xiàn)的問題。如因不可抗拒因素，或甲方施工人員人為造成的設(shè)備損壞，由甲方自行承擔。乙方協(xié)助甲方聯(lián)系廠家，有償提供損壞設(shè)備的配件。

　　If the equipment appear quality problem indeed within work process, party B have duty to estimate, obtain evidence for the problem of equipment quality and concert handling appeared problem. If the problem are caused by irresistible factors or caused by the constructor of party A, party A should be responsible this problem. Party B will help party A to contract factory and provide the equipment accessories. Part A should pay equipment.

　　11. 甲方需提供各工種的施工人員，以及施工設(shè)備，施工所需的原材料，測繪設(shè)備，辦公設(shè)備，和施工使用的各類電線，管材等。

　　Party A should provide for constructor, construction equipment, construction material, mapping equipment, office equipment and all kinds of wire, tubing for construction.

　　以上協(xié)議經(jīng)雙方協(xié)商，簽訂。如協(xié)議實施期間發(fā)生糾紛，以中華人民共和國相關(guān)法律為準裁決。該協(xié)議自雙方簽字日起生效。合同資料以中文為準。

　　Both side have negotiated and reached above agreement. During the contract implementation, if some dispute happen, the dispute shall be submitted to the PRC Law for arbitrament. Agreement take effect since both parties signed the contract. Sales contract is subject to Chinese content.
